This website is operated by Roofless Labs Sàrl. Throughout this document, the terms "we", "us" and "our" refer to Roofless Labs Sàrl, and "you" refers to the user or customer.

By accessing this website, purchasing from us, or placing an Early Access Deposit, you agree to be bound by these Terms of Service. If you do not agree, do not use this website.

Section B applies specifically to Early Access Deposits and prevails over Section A in the event of any conflict concerning a Deposit.

A. General Terms

1. Eligibility

You must be at least 18 years old, or the age of legal majority in your jurisdiction if higher, to purchase from this website or to place a Deposit.

2. Accuracy of Information

You agree to provide accurate and complete billing, shipping, and contact information. We are not responsible for delays, failed deliveries, missed communications, or lost entitlements resulting from incorrect, outdated, or inaccessible information you provided.

3. Pricing and Currency

All prices are set by us in Swiss Francs (CHF). Where this website or the checkout displays a price in another currency, that price is a conversion generated automatically by Shopify or your payment provider, at a rate we do not set or control.

The converted price shown to you is indicative and may change between the moment you see it and the moment you pay. The final amount charged, and any foreign transaction fee, currency conversion fee, or spread applied, is a matter between you and your card issuer, bank, or payment provider. We receive and hold all funds in CHF.

Prices shown are the total amount payable to us. We do not add VAT or sales tax at checkout. Import duties and taxes charged by your own country are separate and are covered in Section C.3.

4. Products

We strive to display our products as accurately as possible. Slight variations may occur between product images and the final delivered item.

Certain products shown on this website are in development and are not available for purchase. Product descriptions, specifications, renderings, prototypes, images, timelines, pricing, and availability are subject to change without notice and do not constitute a binding offer or a commitment to produce, release, or sell anything.

5. Orders

All orders are subject to acceptance and availability. A confirmation email acknowledges receipt of your order. It does not constitute acceptance.

We reserve the right to refuse, limit, or cancel any order, including where we suspect fraud, resale, abuse, or where an error in price or description has occurred. If we cancel an accepted order, we will refund the amount paid.

6. Payment

Payments are processed through Shopify and its payment providers. We do not store your full payment card details. Your use of the checkout is also subject to Shopify's own terms and privacy policy.

Orders are processed only after full payment has been received.

7. Communications

We may contact you by email regarding your orders, your Deposit, and the status of our products. These are service communications and are not marketing.

Marketing emails, if any, require your separate opt-in and can be unsubscribed from at any time. Unsubscribing from marketing does not remove you from service communications relating to an active Deposit or order.

8. Intellectual Property

All content on this website, including designs, logos, images, text, product designs, and prototypes, is the property of Roofless Labs Sàrl or its licensors and is protected by intellectual property law. Unauthorised reproduction, distribution, or commercial use is prohibited.

Nothing on this website grants you any licence or right in our intellectual property.

9. Feedback

If you send us ideas, suggestions, feedback, feature requests, or other input regarding our products, you grant us a perpetual, worldwide, irrevocable, royalty-free, transferable licence to use, reproduce, modify, and commercialise that input without restriction, attribution, or compensation. You confirm that you are free to grant this licence and that your input does not infringe the rights of others.

10. Acceptable Use

You may not use this website to break the law, infringe our rights or those of others, interfere with its operation, scrape it at scale, or attempt to gain unauthorised access to any part of it.

11. Limitation of Liability

To the fullest extent permitted by applicable law, Roofless Labs Sàrl shall not be liable for any indirect, incidental, special, punitive, or consequential damages, nor for loss of profit, data, or opportunity, arising from the use of this website, the purchase of any product, or the placing of a Deposit.

To the fullest extent permitted by applicable law, our total aggregate liability shall not exceed the amount you actually paid to us in respect of the product or Deposit concerned.

Nothing in these Terms excludes or limits our liability for intentional misconduct or gross negligence, for death or personal injury caused by our negligence, or for any other liability that cannot be excluded under applicable law.

12. Force Majeure

We are not liable for any failure or delay in performance caused by events beyond our reasonable control, including natural disasters, war, civil unrest, epidemics, strikes, supplier or manufacturer failure, component shortages, semiconductor supply disruption, shipping and logistics disruption, customs action, tariffs, export or import restrictions, sanctions, changes in law, utility or network outages, and cyberattacks.

13. Export Control and Sanctions

We may refuse or cancel any order, Deposit, or shipment where fulfilment would breach applicable export control, sanctions, or trade restrictions, or where delivery to your jurisdiction is otherwise unlawful or unreasonably impractical. In such a case we will refund the amount paid, and that refund is your sole remedy.

14. Changes to These Terms

We may update these Terms at any time. The version in force at the time of your order governs that order.

For active Deposits, we will notify holders by email of any material change to Section B before it takes effect. If you do not accept a material change, your remedy is to request a refund of your Deposit under Section B.10 before the change takes effect. Continuing to hold a Deposit after the effective date constitutes acceptance.

15. Assignment

You may not assign or transfer your rights under these Terms.

We may assign or transfer these Terms, and any Deposit and associated entitlements, to any successor entity, including in connection with our conversion from a Sàrl to an SA, a corporate reorganisation, a merger, or a sale of assets. Your rights under these Terms will not be diminished by such a transfer.

16. Severability

If any provision of these Terms is found unlawful or unenforceable, that provision shall be modified to the minimum extent necessary or severed, and the remaining provisions shall remain in full force.

17. Language

These Terms are drafted in English. Any translation is provided for convenience only. In the event of a discrepancy, the English version governs, except where mandatory law in your country of residence provides otherwise.

18. Governing Law and Jurisdiction

These Terms are governed by the laws of Switzerland, excluding its conflict of law rules and excluding the United Nations Convention on Contracts for the International Sale of Goods (CISG).

The competent courts of Geneva, Switzerland, shall have exclusive jurisdiction over any dispute.

If you are a consumer resident in the European Union, the United Kingdom, or another jurisdiction whose law grants you mandatory consumer protections, nothing in this Section deprives you of those protections, nor of your right to bring proceedings in the courts of your place of residence.

B. Early Access Deposit Terms

B.1. What the Deposit Is

The Early Access Deposit (the "Deposit") is a refundable payment of CHF 10 that places you on our Early Access list for our forthcoming camera (the "Camera").

Holding a Deposit gives you two things:

1. Priority access. We will notify you in advance of the first public sale of the Camera and give you priority to buy, subject to Section B.6.
2. A CHF 10 discount on the purchase price of one Camera, subject to Section B.8.

B.2. What the Deposit Is Not

The Deposit is expressly not:

• a pre-order, an order, a reservation of a specific unit, or a contract of sale;
• a guarantee that you will receive a Camera, or that you will receive one from the first production batch;
• a guarantee that the Camera will ever be produced, released, or sold;
• a commitment to any release date, price, specification, feature, colour, or configuration;
• a voucher, gift card, coupon, prepaid instrument, stored value, or e-money product;
• a security, share, loan, investment, or any form of participation in Roofless Labs Sàrl;
• a deposit held in escrow or in a segregated account.

No Deposit creates any obligation on us to sell you anything.

B.3. No Release Date

We do not commit to any release date. Development timelines for hardware are uncertain and the first sale may take a long time to arrive. Any timeline, estimate, or indication we communicate at any point is non-binding and may change or be abandoned without notice or liability.

B.4. Availability and Multiple Deposits

Deposits are available in limited quantity. We may close, pause, reopen, or permanently discontinue Deposit sales at any time, without notice.

You may hold more than one Deposit. Each Deposit is a separate priority slot and carries one CHF 10 discount applicable to one Camera. Discounts are not cumulative on a single Camera. Three Deposits means CHF 10 off each of three Cameras, not CHF 30 off one.

We may limit, cancel, or refund Deposits at our discretion, including where we reasonably believe they are held for resale, or were acquired through automated, duplicated, or fraudulent means. We may also cap the number of Cameras any one person may purchase at the first sale, regardless of how many Deposits are held.

B.5. Your Email Address

Your Deposit is tied to the email address used at checkout. This is the only channel through which we will contact you.

You are responsible for:

• providing a valid, working email address that you check regularly;
• ensuring our messages are not blocked, filtered, or sent to spam, including by adding deposit@rooflesslabs.com to your contacts;
• notifying us at deposit@rooflesslabs.com in advance if your email address changes;
• using the same email address when you later buy or back the Camera, so that we can match your entitlement.

A message sent by us to the email address on file is deemed delivered and received, including if it bounces, is filtered, is unread, or the account is inactive. If you miss a communication, including a launch announcement or purchase instructions, that is your responsibility and does not entitle you to any remedy beyond a refund of your Deposit.

B.6. What Priority Access Means

Priority access means that we will make reasonable efforts to notify Deposit holders in advance of the first public sale of the Camera and to give them a head start over the general public, whether through an early access window, an invitation link, a code, a reserved allocation, or another mechanism of our choosing.

Priority access does not guarantee that you will obtain a Camera. Allocation depends on how quickly you act, on production capacity, and on factors outside our control. If you do not act within the window we communicate, or if demand exceeds supply within that window, you may not receive a Camera from the first batch.

We limit the number of Deposits precisely so that we can do our best to serve every Deposit holder, but this is an intention, not a guarantee.

If you do not obtain a Camera, your Deposit remains refundable in full under Section B.10, and your discount remains available for a later purchase under Section B.8.

B.7. Crowdfunding Campaigns

The first sale of the Camera may take the form of a crowdfunding campaign on a platform such as Kickstarter or Indiegogo, a pre-order on our own website, a direct sale, a retail launch, or any combination. The format is our choice.

If the first sale is a crowdfunding campaign:

• your Deposit gives you priority access to become a backer, for example through an early bird tier, a reserved tier, a secret reward link, or an early notification;
• your relationship as a backer is with the crowdfunding platform and is governed by that platform's own terms and conditions, not by these Terms;
• the mechanism used to deliver your CHF 10 benefit is at our sole discretion, and may take the form of a discounted pledge tier, a credit in a pledge manager, a post-campaign refund, or another equivalent mechanism, because crowdfunding platforms do not support individual discount codes;
• backing the campaign is subject to the platform's availability limits and tier limits, and priority does not override them;
• if the campaign does not reach its funding goal, is cancelled, or is suspended, your Deposit and your entitlements under these Terms remain in force and carry over to the next sale we open.

B.8. The CHF 10 Discount

Each Deposit entitles you to CHF 10 off the purchase price of one Camera.

The discount:

• applies to the Camera only, and not to accessories, shipping, insurance, customs duties, import taxes, or any other charge;
• cannot be combined with other promotional codes, offers, or discounts unless we expressly state otherwise;
• cannot be exchanged for cash, and has no value other than as a reduction of the Camera purchase price;
• is not transferable and is tied to the email address on your Deposit.

Claiming the discount. The discount must be applied before you complete checkout. If it is not applied automatically, you must contact us at deposit@rooflesslabs.com before completing your purchase so that we can apply it. We are not obliged to apply the discount, issue a partial refund, or provide any compensation after an order has been completed.

The discount is consumed when used. Once a Deposit has been applied to a purchase, that Deposit is no longer refundable and the corresponding priority slot is extinguished. If you subsequently cancel or return that purchase, any refund is limited to the amount you actually paid.

Skipping the first sale. If you choose not to buy or back a Camera at the first sale, and you do not request a refund, your Deposit remains valid. You keep your CHF 10 discount and may apply it to a later purchase of a Camera made directly through our website, subject to Sections B.9 and B.10.

B.9. Where the Discount Can Be Used

The discount can only be applied to a purchase made directly from Roofless Labs Sàrl, whether through our website or through a sales channel we operate.

It cannot be applied to purchases made through third party retailers, resellers, distributors, marketplaces, or crowdfunding platforms, except where we choose to provide an equivalent benefit under Section B.7.

B.10. Refunds

You may request a refund at any time. Write to deposit@rooflesslabs.com from the email address on your Deposit. We will process the refund within 14 days of confirming your request. Requesting a refund cancels your priority access and your discount.

We may refund you at any time. We may cancel and refund any Deposit at our sole discretion, at any time, for any reason or for no reason, including if we discontinue the project, change our commercial plans, cannot serve your jurisdiction, or suspect abuse. A refund of the amount paid is your sole and exclusive remedy, and we accept no liability beyond it.

Automatic refund after 36 months. If we have not opened a first public sale of the Camera within 36 months of the date you placed your Deposit, we will refund it automatically to the original payment method, without you needing to ask. This cancels your priority access and your discount.

Deletion of your data. If you ask us to delete your personal data, we cannot maintain your place on the Early Access list. Such a request will be treated as a refund request and will cancel your Deposit.

If the refund cannot be processed. Refunds are issued to the original payment method. Because a Deposit may be held for a long time, that method may have expired, been cancelled, or been closed by the time we refund it.

If a refund fails for that reason, we will notify you at the email address on file and ask you to provide an alternative means of payment. You are responsible for responding and for providing accurate details. Where the only workable alternative costs more than the Deposit itself, for example an international bank transfer, we may deduct the actual cost of that transfer, or offer you an equivalent credit against a future purchase instead. The choice between those options is yours.

If we receive no usable response within twelve (12) months of our first attempt to contact you, we will stop attempting to refund you and will treat the amount as unclaimed. Your Deposit and its entitlements are cancelled at that point, but you may still claim the unclaimed amount by writing to us at any time before the applicable statutory limitation period expires.

B.11. Currency and Refund Amount

The Deposit is denominated and held by us in Swiss Francs (CHF). If you paid in another currency, your payment was converted to CHF at the time of payment by Shopify or your payment provider.

Refunds are issued in CHF to the original payment method and converted back into your local currency by Shopify, your payment provider, or your bank.

Because of exchange rate movements between the date of payment and the date of refund, and because of any conversion fees or charges applied by your payment provider or bank, the amount you receive back may be more or less than the amount you originally paid. We refund the full CHF amount of your Deposit. We have no control over, and accept no liability for, exchange rates, conversion spreads, or third party fees.

B.12. No Interest and No Escrow

The Deposit does not bear interest, however long we hold it.

Deposit funds are not held in escrow or in a segregated client account. They form part of our general working capital and may be used in the ordinary course of our business, including for the development of the Camera.

In the event of our insolvency, bankruptcy, or liquidation, Deposit holders would rank as unsecured creditors, and repayment in full may not be possible. By placing a Deposit you acknowledge and accept this risk.

B.13. Right to Abandon the Project

We may modify, delay, suspend, or permanently abandon the Camera project at any time, in whole or in part, for any reason and without notice.

If we abandon the project, we will refund all outstanding Deposits. That refund is your sole and exclusive remedy. We accept no liability for any loss, cost, disappointment, or expectation arising from a change to or abandonment of the project.

B.14. No Price Commitment

The Deposit does not fix, guarantee, or cap the price of the Camera. The price will be set at the time of sale and may be significantly higher than any figure previously indicated. Your only price entitlement is the CHF 10 discount described in Section B.8.

B.15. Non-Transferable

Deposits, priority access, and discounts are personal to you and to the email address on file. They may not be sold, transferred, assigned, gifted, traded, auctioned, or shared. Any attempt to do so voids the Deposit, and we may cancel it and refund the amount paid.

B.16. Chargebacks and Fraud

If you initiate a chargeback, payment dispute, or reversal, or if we reasonably suspect fraudulent, abusive, or automated activity in connection with your Deposit, we may immediately cancel your Deposit, your priority access, and your discount, without notice and without reinstatement.

If you have an issue with your Deposit, contact us at deposit@rooflesslabs.com first. A refund is available on request at any time, so a chargeback is never necessary.

B.17. Data and Payment Processing

Deposit payments are processed by Shopify. Your name, email address, payment details, and transaction data are collected and stored by Shopify on our behalf, in accordance with Shopify's own terms and privacy policy.

We retain your email address and Deposit record for as long as your Deposit is active, in order to operate the Early Access list, and thereafter for the period required by applicable accounting and tax law.

Our handling of your personal data is described in our Privacy Policy.

B.18. Contact

All Deposit related communication, including refund requests, discount claims, email address changes, and general questions, must be sent to:

Please write from the email address associated with your Deposit, or tell us clearly which address it is registered under.

C. Merchandise Policies

The following applies to physical goods other than the Camera, such as clothing and accessories, where and when such goods are offered for sale on this website.

C.1. Availability

We do not always have merchandise on sale. Where no merchandise is listed, this Section is dormant. Orders placed in the past are governed by the terms that were in force at the time the order was placed.

C.2. Shipping

All orders are processed within 7 to 14 business days.

Orders are shipped via Swiss Post.

Clothing items may be sold as pre-orders. Estimated shipping time for clothing is between 2 and 8 weeks, depending on how close the order was placed to a new production batch.

All timeframes are estimates and may vary depending on destination or circumstances beyond our control.

C.3. International Shipping

We ship worldwide.

Customs duties, import taxes, and any additional fees charged by the destination country are the sole responsibility of the customer. We are not responsible for delays caused by customs.

If a shipment is refused or returned due to unpaid duties, taxes, or a failure to collect, any refund may exclude shipping and return costs.

C.4. Returns

We accept returns within 14 days of delivery.

To be eligible for a return, the item must be:

• unworn
• unwashed
• with original tags attached
• in its original packaging

Return shipping costs are the responsibility of the customer, except where mandatory consumer law in your country of residence provides otherwise.

C.5. Refunds on Merchandise

Once your return is received and inspected, we will process your refund within 7 days. Refunds are issued to the original payment method used at checkout. If that method is no longer valid, the procedure in Section B.10 applies.

We do not currently offer exchanges.

C.6. Consumer Rights

Nothing in this Section limits or excludes any mandatory right available to you under the consumer protection law of your country or state of residence.

Depending on where you live, you may have additional statutory rights beyond the return policy above, such as a right of withdrawal, a right to a refund where we cannot ship within a reasonable time, or state level protections. Where those rights conflict with this Part, those rights prevail.
